Service Agreement
By engaging NoMissedJobs for web apps, automation, or AI creative services, you agree to these terms and conditions. Please read them carefully before proceeding with any services.
1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you", or "your") and NoMissedJobs ("NoMissedJobs", "we", "us", or "our") regarding your use of our services.
By engaging our services, submitting project inquiries, or making payments, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
2. Services Offered
NoMissedJobs provides professional digital services including:
- Web Design & Development: Custom websites, e-commerce solutions, responsive design
- Business Automation: N8N workflow automation, CRM integrations, process automation
- AI Creative Services: AI-generated logos, marketing visuals, product images
- Maintenance & Support: Website updates, security monitoring, performance optimization
- Consulting: Digital strategy, technical consulting, training
3. Service Agreement & Project Scope
Project Proposals
All projects begin with a detailed proposal outlining:
- Specific deliverables and project scope
- Timeline and milestones
- Payment schedule and total project cost
- Client responsibilities and required materials
- Revision limits and change request procedures
Scope Changes
Any changes to the agreed scope must be documented in writing and may result in additional costs and timeline adjustments. We will provide written estimates for scope changes before proceeding.
4. Payment Terms
Payment Schedule
- Web Design Projects: 50% deposit, 50% on completion
- Automation Retainers: Monthly billing in advance
- Large Projects (>£10,000): 50% deposit, milestones payments, 20% final payment
- Maintenance Plans: Quarterly or annual billing in advance
Payment Methods
We accept payments via:
- Credit/Debit cards (Visa, Mastercard, American Express)
- Bank transfer (UK and international)
- PayPal (for projects under £2,000)
- Direct debit (for ongoing services)
Late Payments
Late payments are subject to:
- 1.5% monthly interest charge on overdue amounts
- Suspension of services after 14 days overdue
- Project termination after 30 days overdue
- Recovery costs for debts over 60 days overdue
5. Client Responsibilities
To ensure project success, clients are responsible for:
- Content Provision: Providing text, images, logos, and materials within agreed timelines
- Feedback & Approvals: Reviewing and approving work within 5 business days
- Access Provision: Providing necessary login credentials and system access
- Legal Compliance: Ensuring all content is legally compliant and appropriately licensed
- Communication: Responding to project communications within 48 hours
- Testing: Testing delivered work and reporting issues within 7 days
6. Intellectual Property
Client Content
You retain full ownership of all content, materials, and intellectual property you provide. By engaging our services, you grant us a license to use this material for project delivery.
Our Work Product
Upon full payment, you receive:
- Full ownership of custom code and design elements created for your project
- Rights to use all deliverables for your business purposes
- Source files and development assets (where applicable)
Third-Party Assets
Some projects may include third-party assets (fonts, images, plugins) subject to their respective licenses. We will clearly identify any ongoing license costs or restrictions.
7. Revisions & Changes
Included Revisions
- Design Projects: 3 rounds of revisions per design concept
- Content Changes: Minor text and image updates
- Bug Fixes: Corrections to functionality as specified
Additional Work
Work beyond the agreed scope is charged at our standard hourly rates:
- Senior Developer: £85/hour
- Designer: £75/hour
- Automation Specialist: £70/hour
- Project Manager: £65/hour
8. Website Hosting & Maintenance
Hosting Recommendations
We recommend reliable hosting providers but do not provide hosting services directly. Website performance and uptime depend on your chosen hosting provider.
Maintenance Services
Optional maintenance plans include:
- Security updates and monitoring
- Performance optimization
- Backup management
- Content updates (limited hours per month)
- Technical support and troubleshooting
9. Automation Services Disclaimer
Automation results depend on many factors including:
- Third-party service availability and changes
- API limitations and rate limits
- Data quality and consistency
- Technical implementation requirements
- External factors beyond our control
We cannot guarantee specific time savings or business results. Our automation strategies follow industry best practices and platform guidelines.
10. Warranties & Disclaimers
Service Warranty
We warrant that our services will be performed with professional skill and care. We will correct any material defects in our work at no additional cost within 30 days of project completion.
Limitation of Warranties
Our services are provided "as is" without warranties of:
- Specific business results or revenue increases
- Website traffic or conversion improvements
- Search engine ranking achievements
- Compatibility with all future technology changes
11. Limitation of Liability
Our total liability for any claim arising from our services is limited to:
- The total amount paid by the client for the specific service
- Direct damages only (no indirect, consequential, or punitive damages)
- Claims must be made within 12 months of project completion
We are not liable for losses due to third-party services, hosting issues, content violations, or client modifications to our work.
12. Termination
Client Termination
Clients may terminate projects with 14 days written notice. In case of termination:
- Payment is due for all work completed to termination date
- Clients receive all completed deliverables
- No refunds for work already performed
- Additional charges may apply for project handover
Our Termination Rights
We may terminate projects immediately for:
- Non-payment of invoices
- Breach of these terms
- Abusive or threatening behavior
- Requests for illegal or unethical work
13. Confidentiality
We maintain strict confidentiality regarding:
- Client business information and strategies
- Proprietary data and trade secrets
- Financial information and pricing
- Personal data and contact information
We may use project work in our portfolio unless specifically requested otherwise in writing.
14. Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control, including but not limited to: natural disasters, government actions, internet outages, pandemics, or third-party service failures.
15. Governing Law & Disputes
These Terms are governed by English law and subject to the exclusive jurisdiction of the English courts. We encourage resolving disputes through good faith negotiation before pursuing legal action.
